1.1 "Confidential Information" means all information, in any form, disclosed or made available by SPI to the User through the Platform or otherwise, including: (a) project records, budgets, timelines, statuses, owner and consultant details, bidder lists, award information and pipeline data that are not publicly available in that form; (b) company profiles, performance metrics, competitor tracking and business contact information; (c) opportunity scores, forecasts, market analyses, sector reports, Project News items and benchmarking; (d) the structure, taxonomy, data models, verification procedures and scoring methodology of the Platform; (e) pricing, commercial terms, roadmap and security information communicated to the User; (f) material obtained by SPI from licensed third-party sources; and (g) any compilation, extract, export, screenshot, recording or derivative of the foregoing.

1.1 "المعلومات السرية" تعني جميع المعلومات، بأي شكل كانت، التي تفصح عنها SPI أو تتيحها للمستخدم من خلال المنصة أو بغير ذلك، بما في ذلك: (أ) سجلات المشاريع والميزانيات والجداول الزمنية والحالات وبيانات المالكين والاستشاريين وقوائم المتقدمين ومعلومات الترسية وبيانات المشاريع القادمة التي لا تتوفر للعموم بهذا الشكل؛ (ب) ملفات الشركات ومقاييس الأداء ومتابعة المنافسين ومعلومات الاتصال المهنية؛ (ج) درجات تقييم الفرص والتوقعات والتحليلات السوقية وتقارير القطاعات ومواد أخبار المشاريع والمقارنات المعيارية؛ (د) هيكل المنصة وتصنيفها ونماذج بياناتها وإجراءات التحقق ومنهجية التقييم فيها؛ (هـ) معلومات الأسعار والشروط التجارية وخارطة الطريق والمعلومات الأمنية التي تُبلَّغ للمستخدم؛ (و) المواد التي تحصل عليها SPI من مصادر أطراف ثالثة مرخصة؛ (ز) أي تجميع أو مقتطف أو تصدير أو لقطة شاشة أو تسجيل أو عمل مشتق مما سبق.

1.2 Confidential Information does not include information which the User can demonstrate by contemporaneous written records: (a) was lawfully in its possession before disclosure by SPI; (b) is or becomes publicly available other than through breach of this Agreement — provided that an individual fact being public does not make SPI's compilation, verification, classification or analysis of it public; (c) was lawfully received from a third party without restriction; or (d) was independently developed without use of or reference to the Confidential Information. The burden of proving an exception lies with the User.

1.2 لا تشمل المعلومات السرية المعلومات التي يستطيع المستخدم إثباتها بسجلات مكتوبة معاصرة بأنها: (أ) كانت في حوزته بصورة مشروعة قبل إفصاح SPI عنها؛ (ب) متاحة للعموم أو أصبحت كذلك دون إخلال بهذه الاتفاقية — على أن كون حقيقة منفردة علنية لا يجعل تجميع SPI لها أو تحققها منها أو تصنيفها أو تحليلها علنياً؛ (ج) تم استلامها بصورة مشروعة من طرف ثالث دون قيود؛ (د) تم تطويرها بشكل مستقل دون استخدام المعلومات السرية أو الرجوع إليها. ويقع عبء إثبات الاستثناء على المستخدم.

2.1 The User shall: (a) keep the Confidential Information strictly confidential and protect it with at least the same degree of care it uses for its own confidential information, and no less than reasonable care; (b) use the Confidential Information solely for its own internal business purposes as permitted by the Terms and Conditions (the "Permitted Purpose"); (c) not disclose, publish, transmit, resell, sub-license or otherwise make the Confidential Information available to any third party, including affiliates, joint-venture partners, clients and consultants, unless they hold their own Subscription; (d) not use the Confidential Information to develop, train, populate or improve any competing database, platform, newsletter, AI model or intelligence service; and (e) not transfer Confidential Information in bulk outside the Kingdom of Saudi Arabia except as incidental to the Permitted Purpose.

2.1 يلتزم المستخدم بما يلي: (أ) الحفاظ على السرية التامة للمعلومات السرية وحمايتها بدرجة من العناية لا تقل عن تلك التي يوليها لمعلوماته السرية الخاصة، وبما لا يقل عن العناية المعقولة؛ (ب) استخدام المعلومات السرية فقط لأغراض أعماله الداخلية على النحو المسموح به في شروط وأحكام الاستخدام ("الغرض المسموح به")؛ (ج) عدم الإفصاح عن المعلومات السرية أو نشرها أو نقلها أو إعادة بيعها أو ترخيصها من الباطن أو إتاحتها بأي شكل لأي طرف ثالث، بما في ذلك الشركات التابعة وشركاء المشاريع المشتركة والعملاء والاستشاريون، ما لم يكن لديهم اشتراك خاص بهم؛ (د) عدم استخدام المعلومات السرية لتطوير أو تدريب أو تغذية أو تحسين أي قاعدة بيانات أو منصة أو نشرة إخبارية أو نموذج ذكاء اصطناعي أو خدمة معلومات منافسة؛ (هـ) عدم نقل المعلومات السرية بشكل جماعي خارج المملكة العربية السعودية إلا بقدر ما يقتضيه الغرض المسموح به عرضاً.

2.2 The User may share Confidential Information only with its own employees and officers who need to know it for the Permitted Purpose and who are bound by written confidentiality obligations no less protective than this Agreement. The User remains fully liable for any act or omission of such persons as if it were its own. Where the User's Subscription is an individual plan, sharing within the organisation is limited to the extent expressly permitted by the plan.

2.2 يجوز للمستخدم مشاركة المعلومات السرية فقط مع موظفيه ومسؤوليه الذين يحتاجون إلى معرفتها للغرض المسموح به والملتزمين بالتزامات سرية مكتوبة لا تقل حماية عن هذه الاتفاقية. ويظل المستخدم مسؤولاً مسؤولية كاملة عن أي فعل أو امتناع من هؤلاء الأشخاص كما لو كان صادراً عنه. وإذا كان اشتراك المستخدم باقة فردية، تقتصر المشاركة داخل المنشأة على الحد المسموح به صراحة في الباقة.

2.3 The User shall not circumvent access controls, share login credentials, use automated tools or browser extensions to extract Confidential Information, or capture Confidential Information in bulk by screenshots, recordings, photographs or otherwise. Limited quotation of individual facts in the User's internal reports and bid documents with attribution to "SPI – Saudi Projects Intelligence" is permitted.

2.3 لا يجوز للمستخدم التحايل على ضوابط الوصول، أو مشاركة بيانات الدخول، أو استخدام أدوات آلية أو إضافات متصفح لاستخراج المعلومات السرية، أو التقاط المعلومات السرية بشكل جماعي عبر لقطات الشاشة أو التسجيلات أو الصور أو غير ذلك. ويُسمح باقتباس محدود لوقائع منفردة في تقارير المستخدم الداخلية ووثائق عطاءاته مع نسبها إلى "SPI – Saudi Projects Intelligence".

2.4 The User shall notify SPI immediately at legal@spi-platform.com upon becoming aware of any actual or suspected unauthorised use or disclosure of Confidential Information, shall cooperate fully with SPI to contain and remedy it, and shall, on reasonable written request, confirm in writing its compliance with this Agreement and provide reasonable information about the persons who have had access to Confidential Information.

2.4 يلتزم المستخدم بإخطار SPI فوراً على legal@spi-platform.com عند علمه بأي استخدام أو إفصاح غير مصرح به، فعلياً كان أو مشتبهاً به، للمعلومات السرية، والتعاون الكامل مع SPI لاحتوائه ومعالجته، وبأن يؤكد كتابياً، بناءً على طلب كتابي معقول، امتثاله لهذه الاتفاقية ويقدم معلومات معقولة عن الأشخاص الذين تمكنوا من الوصول إلى المعلومات السرية.

3.1 If the User is required by Applicable Law, a court order or a competent authority to disclose Confidential Information, it shall (where legally permitted) promptly notify SPI in writing so that SPI may seek a protective order, disclose only the minimum required, and use reasonable efforts to obtain confidential treatment of the information disclosed.

3.1 إذا طُلب من المستخدم بموجب النظام المعمول به أو أمر قضائي أو جهة مختصة الإفصاح عن معلومات سرية، فعليه (حيثما يسمح النظام) إخطار SPI كتابياً على وجه السرعة لتتمكن من طلب أمر حماية، والاقتصار على الإفصاح عن الحد الأدنى المطلوب، وبذل جهود معقولة للحصول على معاملة سرية للمعلومات المفصح عنها.

4.1 All Confidential Information remains the exclusive property of SPI (or its licensors). Nothing in this Agreement grants the User any licence or right in the Confidential Information other than the limited right of use under the Terms and Conditions for the Permitted Purpose. Confidential Information is provided for information purposes only; SPI makes no warranty as to its accuracy or completeness beyond the accuracy statement in the Terms and Conditions, and the User relies on it at its own risk.

4.1 تظل جميع المعلومات السرية ملكاً حصرياً لـ SPI (أو مرخصيها). ولا يوجد في هذه الاتفاقية ما يمنح المستخدم أي ترخيص أو حق في المعلومات السرية سوى حق الاستخدام المحدود بموجب شروط وأحكام الاستخدام للغرض المسموح به. وتُقدَّم المعلومات السرية لأغراض المعلومات فقط؛ ولا تقدم SPI أي ضمان بشأن دقتها أو اكتمالها يتجاوز بيان الدقة الوارد في شروط وأحكام الاستخدام، ويعتمد المستخدم عليها على مسؤوليته الخاصة.

5.1 SPI shall keep confidential the User's identity as a subscriber, its search history, saved projects, alerts and any non-public information the User submits to SPI (for example, corrections, capability statements or feedback), and shall not disclose them to other Users, project owners or competitors of the User, except as required by Applicable Law or as described in the Privacy Policy. Personal data is handled in accordance with the Privacy Policy. SPI may use User submissions to improve the Content on an anonymised basis.

5.1 تلتزم SPI بالحفاظ على سرية هوية المستخدم كمشترك، وسجل بحثه، ومشاريعه المحفوظة، وتنبيهاته، وأي معلومات غير علنية يقدمها المستخدم إلى SPI (مثل التصحيحات أو بيانات القدرات أو الملاحظات)، وبعدم الإفصاح عنها لمستخدمين آخرين أو مالكي المشاريع أو منافسي المستخدم، إلا فيما يقتضيه النظام المعمول به أو على النحو الموضح في سياسة الخصوصية. وتُعالج البيانات الشخصية وفقاً لسياسة الخصوصية. ويجوز لـ SPI استخدام ما يقدمه المستخدم لتحسين المحتوى على أساس مجهول الهوية.

6.1 This Agreement takes effect on the date of electronic acceptance and continues for as long as the User holds an account, including any trial or limited-preview period. The User's confidentiality obligations survive termination or closure of the account for a period of five (5) years, and indefinitely in respect of Confidential Information that constitutes a trade secret or the Platform's methodology, verification procedures and data models.

6.1 تسري هذه الاتفاقية من تاريخ القبول الإلكتروني وتستمر طوال مدة احتفاظ المستخدم بحساب، بما في ذلك أي فترة تجريبية أو فترة معاينة محدودة. وتظل التزامات المستخدم بالسرية سارية بعد إنهاء الحساب أو إغلاقه لمدة خمس (5) سنوات، وإلى أجل غير مسمى فيما يتعلق بالمعلومات السرية التي تشكل سراً تجارياً أو منهجية المنصة وإجراءات التحقق ونماذج البيانات فيها.

7.1 Within ten (10) days of termination of the User's account or of SPI's written request, the User shall permanently delete or destroy all Confidential Information in its possession or control (including exports, downloads and copies held by its employees) and, on request, certify such destruction in writing signed by an authorised officer. The User may retain one archival copy solely to the extent required by Applicable Law, which remains subject to this Agreement.

7.1 خلال عشرة (10) أيام من إنهاء حساب المستخدم أو من طلب كتابي من SPI، يلتزم المستخدم بحذف أو إتلاف جميع المعلومات السرية الموجودة في حوزته أو تحت سيطرته بشكل دائم (بما في ذلك الملفات المصدَّرة والمنزّلة والنسخ التي يحتفظ بها موظفوه)، والإقرار كتابياً بذلك الإتلاف عند الطلب موقعاً من مسؤول مخوّل. ويجوز للمستخدم الاحتفاظ بنسخة أرشيفية واحدة فقط بالقدر الذي يقتضيه النظام المعمول به، وتظل خاضعة لهذه الاتفاقية.

8.1 The User acknowledges that unauthorised use or disclosure of Confidential Information would cause SPI irreparable harm for which damages would be an inadequate remedy. SPI shall therefore be entitled, in addition to any other remedy, to seek urgent interim relief, injunctions and specific performance from the competent court without the need to prove actual loss or to post security.

8.1 يقر المستخدم بأن الاستخدام أو الإفصاح غير المصرح به للمعلومات السرية سيلحق بـ SPI ضرراً لا يمكن جبره ولن يكون التعويض المالي كافياً لمعالجته. ولذلك يحق لـ SPI، بالإضافة إلى أي سبيل انتصاف آخر، طلب تدابير مؤقتة عاجلة وأوامر قضائية وتنفيذ عيني من المحكمة المختصة دون الحاجة إلى إثبات الخسارة الفعلية أو تقديم ضمان.

8.2 Without prejudice to SPI's right to claim its actual losses, the Parties agree that any breach of clause 2 by the User shall entitle SPI to liquidated damages of SAR [50,000] per breach event, which the Parties acknowledge is a genuine pre-estimate of the minimum loss likely to be suffered, together with immediate termination of the User's account without refund and recovery of the Subscription fees that would have been payable by each unauthorised recipient.

8.2 دون الإخلال بحق SPI في المطالبة بخسائرها الفعلية، يتفق الطرفان على أن أي إخلال بالبند (2) من قبل المستخدم يخوّل SPI الحصول على تعويض اتفاقي قدره [50,000] ريال سعودي عن كل واقعة إخلال، ويقر الطرفان بأنه تقدير مسبق حقيقي للحد الأدنى من الخسارة المحتملة، بالإضافة إلى الإنهاء الفوري لحساب المستخدم دون استرداد واسترداد رسوم الاشتراك التي كانت ستُستحق على كل متلقٍّ غير مصرح له.

8.3 The User shall indemnify and hold harmless SPI, its owner, employees and licensors against all losses, damages, claims, fines, costs and expenses (including reasonable legal fees) arising from any breach of this Agreement by the User or by any person to whom the User has given access to Confidential Information.

8.3 يلتزم المستخدم بتعويض SPI ومالكها وموظفيها ومرخصيها وإبراء ذمتهم من جميع الخسائر والأضرار والمطالبات والغرامات والتكاليف والنفقات (بما في ذلك الأتعاب القانونية المعقولة) الناشئة عن أي إخلال بهذه الاتفاقية من قبل المستخدم أو أي شخص منحه المستخدم حق الوصول إلى المعلومات السرية.

9.1 The Parties agree that this Agreement is concluded and signed electronically pursuant to the Electronic Transactions Law (Royal Decree No. M/18 of 8/3/1428H). The User's ticking of the acceptance box and entry of the verification code sent to its verified e-mail or mobile number constitutes its electronic signature, and SPI's audit record of the acceptance (date, time, IP address, device identifiers, document version and verification method) constitutes conclusive evidence of execution. An electronic copy of this Agreement shall be deemed an original for all purposes, and the User waives any objection to its admissibility on the ground that it is in electronic form.

9.1 يتفق الطرفان على أن هذه الاتفاقية تُبرم وتُوقّع إلكترونياً وفقاً لنظام التعاملات الإلكترونية (المرسوم الملكي رقم م/18 وتاريخ 8/3/1428هـ). ويُعد وضع المستخدم علامة في خانة القبول وإدخاله رمز التحقق المرسل إلى بريده الإلكتروني أو رقم هاتفه المحمول الموثق توقيعاً إلكترونياً منه، ويُعد سجل التدقيق لدى SPI الخاص بالقبول (التاريخ والوقت وعنوان بروتوكول الإنترنت ومعرّفات الجهاز ونسخة المستند وطريقة التحقق) دليلاً قاطعاً على الإبرام. وتُعد النسخة الإلكترونية من هذه الاتفاقية أصلاً لجميع الأغراض، ويتنازل المستخدم عن أي اعتراض على قبولها كدليل بحجة أنها في صورة إلكترونية.

10.1 This Agreement is governed by the laws of the Kingdom of Saudi Arabia. Disputes shall be resolved in accordance with the dispute-resolution clause of the Terms and Conditions (amicable settlement, then the competent Commercial Court in Riyadh), without prejudice to SPI's right to seek interim relief in any jurisdiction. This Agreement is to be read together with the Terms and Conditions and the Privacy Policy; in case of conflict concerning confidentiality, this Agreement prevails. No amendment is effective unless made in writing (including electronically) by SPI and accepted by the User. If any provision is invalid, it shall be read down to the extent necessary and the remainder continues in force. The User may not assign this Agreement without SPI's prior written consent; SPI may assign it to any successor of the SPI business. Any reference to SPW in earlier materials refers to SPI.

10.1 تخضع هذه الاتفاقية لأنظمة المملكة العربية السعودية. وتُسوّى المنازعات وفقاً لبند تسوية المنازعات في شروط وأحكام الاستخدام (التسوية الودية ثم المحكمة التجارية المختصة في الرياض)، دون الإخلال بحق SPI في طلب تدابير مؤقتة في أي اختصاص. وتُقرأ هذه الاتفاقية مع شروط وأحكام الاستخدام وسياسة الخصوصية؛ وفي حال التعارض بشأن السرية، تسود هذه الاتفاقية. ولا يُعتد بأي تعديل ما لم يكن كتابياً (بما في ذلك إلكترونياً) من SPI ومقبولاً من المستخدم. وإذا كان أي حكم باطلاً، يُقرأ بالقدر اللازم لتصحيحه وتظل بقية الأحكام سارية. ولا يجوز للمستخدم التنازل عن هذه الاتفاقية دون موافقة كتابية مسبقة من SPI؛ ويجوز لـ SPI التنازل عنها لأي خلف لأعمال SPI. وتشير أي إشارة إلى SPW في المواد السابقة إلى SPI.

10.2 This Agreement is issued in Arabic and English. In the event of any inconsistency, the Arabic text shall prevail.

10.2 صدرت هذه الاتفاقية باللغتين العربية والإنجليزية. وفي حال وجود أي تعارض، يُعتد بالنص العربي.
