1.1 "Platform" means SPI – Saudi Projects Intelligence, a product of Bunyan Pillars Establishment, including the website, web application, mobile interfaces, e-mail alerts, Project News, APIs, databases, reports and all related services made available by SPI, whether under the SPI name or any earlier or later brand of the same service.

1.1 "المنصة" تعني SPI – Saudi Projects Intelligence، وهي منتج من منتجات مؤسسة بنيان بيلارز، بما في ذلك الموقع الإلكتروني وتطبيق الويب وواجهات الهاتف المحمول وتنبيهات البريد الإلكتروني وأخبار المشاريع وواجهات برمجة التطبيقات وقواعد البيانات والتقارير وجميع الخدمات ذات الصلة التي تتيحها SPI، سواء تحت اسم SPI أو أي علامة سابقة أو لاحقة لذات الخدمة.

1.2 "Content" means all project records, company profiles, tender information, news items, market analyses, forecasts, scores, indices, images, text, data compilations and other material available on or through the Platform, including Content derived from Third-Party Sources.

1.2 "المحتوى" يعني جميع سجلات المشاريع وملفات الشركات ومعلومات المناقصات والمواد الإخبارية والتحليلات السوقية والتوقعات والدرجات والمؤشرات والصور والنصوص ومجموعات البيانات وغيرها من المواد المتاحة على المنصة أو من خلالها، بما في ذلك المحتوى المستمد من مصادر الأطراف الثالثة.

1.3 "Third-Party Sources" means government tender portals, project owners, licensed data and news providers, press reports, industry contacts and other external sources from which SPI obtains or verifies information.

1.3 "مصادر الأطراف الثالثة" تعني بوابات المناقصات الحكومية ومالكي المشاريع ومزودي البيانات والأخبار المرخصين والتقارير الصحفية وجهات الاتصال في القطاع وغيرها من المصادر الخارجية التي تحصل SPI منها على المعلومات أو تتحقق منها.

1.4 "Subscription" means the Bronze, Silver, Gold or Ultimate plan, the trial, or any other access plan offered by SPI from time to time, each licensed per named User and granting access to a defined number of industry sectors.

1.4 "الاشتراك" يعني باقة البرونزية أو الفضية أو الذهبية أو الألتيميت، أو الفترة التجريبية، أو أي باقة وصول أخرى تقدمها SPI من وقت لآخر، وتُرخَّص كل منها لكل مستخدم محدد بالاسم وتمنح حق الوصول إلى عدد محدد من القطاعات.

1.5 "Applicable Law" means the laws, regulations, royal decrees, ministerial resolutions and regulatory guidance in force in the Kingdom of Saudi Arabia, including the Electronic Transactions Law (Royal Decree No. M/18 of 8/3/1428H), the E-Commerce Law (Royal Decree No. M/126 of 7/11/1440H), the Personal Data Protection Law (Royal Decree No. M/19 of 9/2/1443H, as amended), the Anti-Cyber Crime Law (Royal Decree No. M/17 of 8/3/1428H), the Copyright Law (Royal Decree No. M/41 of 2/7/1424H) and the Commercial Register Law.

1.5 "النظام المعمول به" يعني الأنظمة واللوائح والمراسيم الملكية والقرارات الوزارية والإرشادات التنظيمية السارية في المملكة العربية السعودية، بما في ذلك نظام التعاملات الإلكترونية (المرسوم الملكي رقم م/18 وتاريخ 8/3/1428هـ)، ونظام التجارة الإلكترونية (المرسوم الملكي رقم م/126 وتاريخ 7/11/1440هـ)، ونظام حماية البيانات الشخصية (المرسوم الملكي رقم م/19 وتاريخ 9/2/1443هـ وتعديلاته)، ونظام مكافحة الجرائم المعلوماتية (المرسوم الملكي رقم م/17 وتاريخ 8/3/1428هـ)، ونظام حماية حقوق المؤلف (المرسوم الملكي رقم م/41 وتاريخ 2/7/1424هـ)، ونظام السجل التجاري.

1.6 "SPI" is the product and brand name under which Bunyan Pillars Establishment provides the Platform. All rights, obligations and liabilities expressed to be those of SPI are those of Bunyan Pillars Establishment, and any contract concluded with SPI is concluded with Bunyan Pillars Establishment. If the SPI business is later transferred to a company, references to SPI shall include that company from the date of transfer.

1.6 "SPI" هو اسم المنتج والعلامة التي تقدم مؤسسة بنيان بيلارز المنصة من خلالها. وجميع الحقوق والالتزامات والمسؤوليات المنسوبة إلى SPI هي حقوق والتزامات ومسؤوليات مؤسسة بنيان بيلارز، وأي عقد يُبرم مع SPI يُعد مبرماً مع مؤسسة بنيان بيلارز. وإذا نُقلت أعمال SPI لاحقاً إلى شركة، فإن الإشارات إلى SPI تشمل تلك الشركة اعتباراً من تاريخ النقل.

1.7 Headings are for convenience only. Words in the singular include the plural and vice versa. "Including" means "including without limitation". References to SPW or SPW Intelligence in any earlier material refer to the same Platform.

1.7 العناوين لأغراض التسهيل فقط. والكلمات الواردة بصيغة المفرد تشمل الجمع والعكس صحيح. وتعني عبارة "بما في ذلك" "بما في ذلك على سبيل المثال لا الحصر". وتشير أي إشارة إلى SPW أو SPW Intelligence في أي مادة سابقة إلى ذات المنصة.

2.1 The Platform is a business-to-business professional intelligence service and is not offered to consumers for personal, family or household purposes. You must be at least eighteen (18) years of age and have full legal capacity to enter into binding contracts. If you register on behalf of a company or other entity, you represent and warrant that you are duly authorised to bind that entity, and "you" includes that entity.

2.1 المنصة خدمة معلومات مهنية موجهة للأعمال ولا تُقدَّم للمستهلكين لأغراض شخصية أو عائلية أو منزلية. ويجب ألا يقل عمرك عن ثمانية عشر (18) عاماً وأن تتمتع بالأهلية القانونية الكاملة لإبرام العقود الملزمة. وإذا كنت تسجل نيابة عن شركة أو كيان آخر، فإنك تقر وتضمن أنك مخوّل حسب الأصول بإلزام ذلك الكيان، ويشمل مصطلح "أنت" ذلك الكيان.

2.2 You agree to provide accurate, current and complete registration information (including your full name, professional e-mail, mobile number, employer and job title) and to keep it updated. SPI verifies your e-mail address by a one-time code at sign-up and on sign-in from a new device, and may verify your identity or employer by other reasonable means. SPI may refuse, suspend or cancel any registration at its discretion, including where an e-mail domain, employer or usage pattern indicates a competitor, a reseller or a risk of misuse.

2.2 توافق على تقديم معلومات تسجيل دقيقة وحديثة وكاملة (بما في ذلك اسمك الكامل وبريدك الإلكتروني المهني ورقم هاتفك المحمول وجهة عملك ومسماك الوظيفي) وعلى تحديثها باستمرار. وتتحقق SPI من بريدك الإلكتروني برمز لمرة واحدة عند التسجيل وعند تسجيل الدخول من جهاز جديد، ويجوز لها التحقق من هويتك أو جهة عملك بأي وسيلة معقولة أخرى. ويجوز لـ SPI رفض أي تسجيل أو تعليقه أو إلغاؤه وفقاً لتقديرها، بما في ذلك عندما يشير نطاق البريد الإلكتروني أو جهة العمل أو نمط الاستخدام إلى منافس أو موزع أو خطر إساءة استخدام.

2.3 Each account is personal to one named individual. Account credentials must not be shared, and a "remembered device" must not be a shared or public device. You are responsible for all activity occurring under your account, whether or not authorised by you, and must notify SPI immediately at legal@spi-platform.com of any unauthorised use or security breach.

2.3 كل حساب شخصي لفرد واحد محدد بالاسم. ولا يجوز مشاركة بيانات الدخول، ولا يجوز أن يكون "الجهاز المحفوظ" جهازاً مشتركاً أو عاماً. وأنت مسؤول عن جميع الأنشطة التي تتم من خلال حسابك، سواء كانت مصرحاً بها منك أم لا، ويجب عليك إخطار SPI فوراً على legal@spi-platform.com بأي استخدام غير مصرح به أو خرق أمني.

2.4 Where an organisation holds several User accounts, the organisation is jointly and severally liable with each of its Users for compliance with these Terms, and SPI may deal with the organisation's designated administrator in respect of all such accounts.

2.4 عندما تمتلك منشأة عدة حسابات مستخدمين، تكون المنشأة مسؤولة بالتضامن والتكافل مع كل من مستخدميها عن الامتثال لهذه الشروط، ويجوز لـ SPI التعامل مع المسؤول المعيّن من المنشأة فيما يخص جميع تلك الحسابات.

3.1 In accordance with the Electronic Transactions Law and its Implementing Regulations, you agree that your acceptance of these Terms, the Privacy Policy and the User Non-Disclosure Agreement by electronic means — including ticking an acceptance box, entering a one-time code sent to your verified e-mail or mobile number, or clicking "I Agree" — constitutes a valid electronic signature with the same legal effect as a handwritten signature, and that you will not contest the validity or enforceability of these documents on the ground that they were concluded electronically.

3.1 وفقاً لنظام التعاملات الإلكترونية ولائحته التنفيذية، توافق على أن قبولك لهذه الشروط وسياسة الخصوصية واتفاقية عدم الإفصاح الخاصة بالمستخدم بالوسائل الإلكترونية — بما في ذلك وضع علامة في خانة القبول، أو إدخال رمز لمرة واحدة مرسل إلى بريدك الإلكتروني أو رقم هاتفك المحمول الموثق، أو النقر على "أوافق" — يُعد توقيعاً إلكترونياً صحيحاً له ذات الأثر القانوني للتوقيع الخطي، وعلى أنك لن تطعن في صحة هذه المستندات أو قابليتها للتنفيذ بحجة إبرامها إلكترونياً.

3.2 SPI will record the date, time (Arabia Standard Time), IP address, device identifiers, the version of each document accepted and the verification method used, and will retain this audit record as conclusive evidence of your acceptance. A copy of the accepted documents will be sent to your registered e-mail and remain available in your account settings.

3.2 ستقوم SPI بتسجيل التاريخ والوقت (بتوقيت المملكة العربية السعودية) وعنوان بروتوكول الإنترنت ومعرّفات الجهاز ونسخة كل مستند تم قبوله وطريقة التحقق المستخدمة، وستحتفظ بهذا السجل كدليل قاطع على قبولك. وسيتم إرسال نسخة من المستندات المقبولة إلى بريدك الإلكتروني المسجل وستبقى متاحة في إعدادات حسابك.

3.3 You agree to receive all notices, invoices and communications relating to the Platform electronically, and that such electronic communications satisfy any legal requirement that they be in writing.

3.3 توافق على استلام جميع الإشعارات والفواتير والمراسلات المتعلقة بالمنصة إلكترونياً، وعلى أن هذه المراسلات الإلكترونية تستوفي أي متطلب نظامي بأن تكون كتابية.

4.1 On registration, new Users receive a complimentary one (1) day Ultimate trial with access to all sectors. The trial is limited to one per person and per organisation, may be withdrawn or shortened at any time, and is provided without any warranty or obligation. At the end of the trial, unless a paid Subscription has been activated, the account reverts to a limited preview mode in which project and company listings remain visible but detailed records are locked.

4.1 عند التسجيل، يحصل المستخدمون الجدد على فترة تجريبية مجانية لباقة الألتيميت لمدة يوم واحد (1) مع إمكانية الوصول إلى جميع القطاعات. وتقتصر الفترة التجريبية على مرة واحدة لكل شخص ولكل منشأة، ويجوز سحبها أو تقصيرها في أي وقت، وتُقدَّم دون أي ضمان أو التزام. وعند انتهاء الفترة التجريبية، وما لم يتم تفعيل اشتراك مدفوع، يتحول الحساب إلى وضع المعاينة المحدود الذي تبقى فيه قوائم المشاريع والشركات مرئية بينما تُقفل السجلات التفصيلية.

4.2 Paid Subscriptions are licensed per named User per month or per year and grant access to the number of industry sectors corresponding to the plan selected (Bronze: one sector; Silver: two sectors; Gold: four sectors; Ultimate: all sectors). Current list prices are published on the Plans page of the Platform and are stated in Saudi Riyals per User per month, exclusive of VAT; an annual plan is charged at the equivalent of ten (10) monthly fees. Content outside your subscribed sectors is displayed in summary form only. Sector selections may be changed only at renewal or upgrade unless SPI agrees otherwise.

4.2 تُرخَّص الاشتراكات المدفوعة لكل مستخدم محدد بالاسم شهرياً أو سنوياً، وتمنح حق الوصول إلى عدد القطاعات المقابل للباقة المختارة (البرونزية: قطاع واحد؛ الفضية: قطاعان؛ الذهبية: أربعة قطاعات؛ الألتيميت: جميع القطاعات). وتُنشر الأسعار الحالية في صفحة الباقات على المنصة بالريال السعودي لكل مستخدم شهرياً غير شاملة ضريبة القيمة المضافة؛ وتُحتسب الباقة السنوية بما يعادل عشرة (10) رسوم شهرية. ويُعرض المحتوى خارج القطاعات المشترك بها في صورة ملخص فقط. ولا يجوز تغيير القطاعات المختارة إلا عند التجديد أو الترقية ما لم توافق SPI على خلاف ذلك.

4.3 Fees are exclusive of value added tax (VAT) and any other applicable taxes, duties or bank charges, which will be added or borne by you at the prevailing rate. Fees are payable in advance by bank transfer to the account of Bunyan Pillars Establishment or such other method as SPI makes available. Paid Subscriptions are activated by SPI upon confirmation of receipt of cleared funds. A tax invoice compliant with ZATCA requirements will be issued for each payment.

4.3 لا تشمل الرسوم ضريبة القيمة المضافة أو أي ضرائب أو رسوم أو مصاريف بنكية أخرى مطبقة، وتُضاف أو تتحملها أنت بالنسبة السارية. وتُدفع الرسوم مقدماً عن طريق التحويل البنكي إلى حساب مؤسسة بنيان بيلارز أو أي وسيلة أخرى تتيحها SPI. وتقوم SPI بتفعيل الاشتراك المدفوع عند تأكيد استلام المبالغ المحصّلة. وتُصدر فاتورة ضريبية متوافقة مع متطلبات هيئة الزكاة والضريبة والجمارك عن كل دفعة.

4.4 Subscriptions run for the term selected and do not renew automatically unless you elect auto-renewal in your account settings. SPI will notify you at least fourteen (14) days before expiry. Because the Platform gives immediate access to downloadable digital content, fees paid are non-refundable once access has been activated, except (a) where a refund is mandatory under the E-Commerce Law, or (b) where SPI is unable to provide the Platform for a continuous period exceeding seven (7) days for reasons attributable to SPI, in which case a pro-rata credit or refund of the unused period will be your sole remedy.

4.4 تسري الاشتراكات للمدة المختارة ولا تتجدد تلقائياً ما لم تختر التجديد التلقائي في إعدادات حسابك. وستقوم SPI بإخطارك قبل أربعة عشر (14) يوماً على الأقل من انتهاء الاشتراك. ونظراً لأن المنصة تتيح وصولاً فورياً إلى محتوى رقمي قابل للتنزيل، فإن الرسوم المدفوعة غير قابلة للاسترداد بعد تفعيل الوصول، باستثناء (أ) الحالات التي يكون فيها الاسترداد إلزامياً بموجب نظام التجارة الإلكترونية، أو (ب) تعذّر SPI عن توفير المنصة لمدة متواصلة تتجاوز سبعة (7) أيام لأسباب تُعزى إلى SPI، وفي هذه الحالة يكون منح رصيد أو استرداد بالتناسب عن المدة غير المستخدمة هو سبيل الانتصاف الوحيد لك.

4.5 SPI may change its fees and plans on at least thirty (30) days' notice. Changes apply from the next renewal and do not affect a Subscription already paid for. Promotional or introductory prices apply for the period stated and revert to list price thereafter.

4.5 يجوز لـ SPI تغيير رسومها وباقاتها بإشعار مدته ثلاثون (30) يوماً على الأقل. وتسري التغييرات اعتباراً من التجديد التالي ولا تؤثر على الاشتراك المدفوع مسبقاً. وتسري الأسعار الترويجية أو التمهيدية للمدة المحددة ثم تعود إلى السعر المعلن بعدها.

5.1 Subject to these Terms and payment of applicable fees, SPI grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable and revocable licence to access and use the Platform and the Content for your own internal business purposes (including bid preparation, market research, business development and project tracking) during the term of your Subscription.

5.1 مع مراعاة هذه الشروط وسداد الرسوم المطبقة، تمنحك SPI ترخيصاً محدوداً وشخصياً وغير حصري وغير قابل للتحويل وغير قابل للترخيص من الباطن وقابلاً للإلغاء للوصول إلى المنصة والمحتوى واستخدامهما لأغراض أعمالك الداخلية فقط (بما في ذلك إعداد العطاءات وأبحاث السوق وتطوير الأعمال ومتابعة المشاريع) خلال مدة اشتراكك.

5.2 You may download, print or export Content within the limits of your plan (including any export quota) solely for internal use, provided that all proprietary notices and source attributions are retained and the Content is not made available outside your organisation. Limited extracts of individual facts may be quoted in your internal reports and bid documents with attribution to "SPI – Saudi Projects Intelligence".

5.2 يجوز لك تنزيل المحتوى أو طباعته أو تصديره ضمن حدود باقتك (بما في ذلك أي حصة تصدير) للاستخدام الداخلي فقط، شريطة الاحتفاظ بجميع إشعارات الملكية ونسب المصادر وعدم إتاحة المحتوى خارج منشأتك. ويجوز اقتباس مقتطفات محدودة من وقائع منفردة في تقاريرك الداخلية ووثائق عطاءاتك مع نسبها إلى "SPI – Saudi Projects Intelligence".

5.3 SPI may set and vary fair-use limits (such as daily record views, exports or API calls) to protect the integrity of the database. Exceeding those limits may result in throttling, suspension or a requirement to upgrade.

5.3 يجوز لـ SPI تحديد حدود الاستخدام العادل وتغييرها (مثل عدد السجلات المعروضة يومياً أو عمليات التصدير أو استدعاءات واجهة برمجة التطبيقات) لحماية سلامة قاعدة البيانات. وقد يؤدي تجاوز تلك الحدود إلى تقييد السرعة أو التعليق أو اشتراط الترقية.

6.1 You must not: (a) copy, reproduce, republish, sell, rent, licence, distribute or commercially exploit the Content or any substantial part of the database; (b) use crawlers, scrapers, bots, browser extensions or automated means to access or extract Content; (c) share your credentials or permit any third party to access your account; (d) reverse-engineer, decompile or attempt to derive the source code, data models or scoring methodology of the Platform; (e) use the Content to build, train, populate or improve a competing product, database, newsletter, AI model or service; (f) remove or alter any copyright, trademark or source attribution; (g) upload malicious code or interfere with the security or performance of the Platform; (h) use the Platform for any purpose that is unlawful under Applicable Law, including the Anti-Cyber Crime Law; (i) misrepresent Content as originating from a government body or project owner; or (j) use Content to contact individuals in a manner that breaches the Personal Data Protection Law or anti-spam rules.

6.1 يُحظر عليك: (أ) نسخ المحتوى أو أي جزء جوهري من قاعدة البيانات أو إعادة إنتاجه أو إعادة نشره أو بيعه أو تأجيره أو ترخيصه أو توزيعه أو استغلاله تجارياً؛ (ب) استخدام برامج الزحف أو الاستخلاص أو الروبوتات أو إضافات المتصفح أو أي وسائل آلية للوصول إلى المحتوى أو استخراجه؛ (ج) مشاركة بيانات الدخول أو السماح لأي طرف ثالث بالوصول إلى حسابك؛ (د) الهندسة العكسية للمنصة أو فك شفرتها أو محاولة استخلاص شفرتها المصدرية أو نماذج بياناتها أو منهجية التقييم فيها؛ (هـ) استخدام المحتوى لإنشاء أو تدريب أو تغذية أو تحسين منتج أو قاعدة بيانات أو نشرة إخبارية أو نموذج ذكاء اصطناعي أو خدمة منافسة؛ (و) إزالة أو تعديل أي إشعار بحقوق النشر أو العلامة التجارية أو نسب المصدر؛ (ز) تحميل شفرات ضارة أو التدخل في أمن المنصة أو أدائها؛ (ح) استخدام المنصة لأي غرض مخالف للنظام المعمول به، بما في ذلك نظام مكافحة الجرائم المعلوماتية؛ (ط) تقديم المحتوى على أنه صادر عن جهة حكومية أو مالك مشروع؛ أو (ي) استخدام المحتوى للتواصل مع الأفراد بطريقة تخالف نظام حماية البيانات الشخصية أو قواعد مكافحة الرسائل غير المرغوبة.

6.2 SPI monitors usage patterns (including download volumes, concurrent sessions and device fingerprints) to detect misuse. Any breach of this clause entitles SPI to suspend or terminate your account immediately without refund, to recover the fees that would have been payable for the unauthorised use, and to pursue all available remedies, including claims for damages, injunctive relief and referral to the competent authorities.

6.2 تراقب SPI أنماط الاستخدام (بما في ذلك أحجام التنزيل والجلسات المتزامنة وبصمات الأجهزة) للكشف عن إساءة الاستخدام. وأي إخلال بهذا البند يخوّل SPI تعليق حسابك أو إنهاءه فوراً دون استرداد، واسترداد الرسوم التي كانت ستُستحق عن الاستخدام غير المصرح به، والسعي للحصول على جميع سبل الانتصاف المتاحة، بما في ذلك المطالبة بالتعويض والأوامر القضائية وإحالة الأمر إلى الجهات المختصة.

7.1 The Platform, the Content, the SPI name, logo and lockups, the database structure, the selection and arrangement of data, the opportunity-scoring methodology and all software are owned by or licensed to SPI and are protected by the Copyright Law, the Law of Trademarks and other Applicable Law. Nothing in these Terms transfers any ownership right to you.

7.1 إن المنصة والمحتوى واسم SPI وشعارها وتكويناتها البصرية وهيكل قاعدة البيانات واختيار البيانات وترتيبها ومنهجية تقييم الفرص وجميع البرمجيات مملوكة لـ SPI أو مرخصة لها، ومحمية بموجب نظام حماية حقوق المؤلف ونظام العلامات التجارية وغيره من الأنظمة المعمول بها. ولا يوجد في هذه الشروط ما ينقل إليك أي حق ملكية.

7.2 Publicly available source information (such as tender announcements published by government entities) remains the property of its original publisher, and Content obtained from licensed Third-Party Sources remains the property of those sources. SPI's rights extend to its compilation, verification, enrichment, classification and presentation of that information, and you acquire no right to use Third-Party Source material beyond the licence in clause 5.

7.2 تبقى المعلومات المصدرية المتاحة للعموم (مثل إعلانات المناقصات المنشورة من الجهات الحكومية) ملكاً لناشرها الأصلي، ويبقى المحتوى المستمد من مصادر الأطراف الثالثة المرخصة ملكاً لتلك المصادر. وتمتد حقوق SPI إلى تجميع تلك المعلومات والتحقق منها وإثرائها وتصنيفها وعرضها، ولا تكتسب أي حق في استخدام مواد مصادر الأطراف الثالثة يتجاوز الترخيص الوارد في البند (5).

7.3 If you submit feedback, corrections or suggestions, you grant SPI a perpetual, irrevocable, royalty-free, worldwide licence to use them without obligation or attribution to you.

7.3 إذا قدمت ملاحظات أو تصحيحات أو اقتراحات، فإنك تمنح SPI ترخيصاً دائماً وغير قابل للإلغاء ومعفى من الرسوم وعالمياً لاستخدامها دون أي التزام تجاهك أو نسبها إليك.

8.1 The Content is compiled from Third-Party Sources and SPI's own research and analysis. Project values, timelines, statuses, award decisions and forecasts are indicative, may be estimates, and may change without notice. Opportunity scores, rankings and forecasts are analytical opinions generated by SPI's methodology, not guarantees or recommendations.

8.1 يُجمع المحتوى من مصادر الأطراف الثالثة ومن أبحاث وتحليلات SPI الخاصة. وتُعد قيم المشاريع وجداولها الزمنية وحالاتها وقرارات الترسية والتوقعات استرشادية، وقد تكون تقديرية، وقد تتغير دون إشعار. كما أن درجات تقييم الفرص والتصنيفات والتوقعات آراء تحليلية ناتجة عن منهجية SPI وليست ضمانات أو توصيات.

8.2 Data accuracy. SPI applies verification procedures and targets an accuracy level of between eighty per cent (80%) and one hundred per cent (100%) for the Content, measured across the database as a whole. You acknowledge and agree that: (a) this is a target and a statement of SPI's expected performance, not a warranty, guarantee or condition; (b) individual records may at any time be incomplete, out of date or inaccurate, in particular where Third-Party Sources are themselves inaccurate or delayed; (c) the accuracy level does not apply to forecasts, scores, opinions or Third-Party Source material reproduced as received; and (d) if you identify an error, your sole and exclusive remedy is to report it to SPI, which will review and, where appropriate, correct the record within a reasonable time. No refund, credit, damages or other claim arises from any inaccuracy in the Content.

8.2 دقة البيانات. تطبّق SPI إجراءات تحقق وتستهدف مستوى دقة يتراوح بين ثمانين بالمائة (80%) ومائة بالمائة (100%) للمحتوى، مقاساً على مستوى قاعدة البيانات ككل. وتقر وتوافق على أن: (أ) هذا المستوى هدف وبيان بالأداء المتوقع من SPI، وليس ضماناً أو كفالة أو شرطاً؛ (ب) قد تكون السجلات المنفردة في أي وقت غير مكتملة أو غير محدثة أو غير دقيقة، لا سيما عندما تكون مصادر الأطراف الثالثة نفسها غير دقيقة أو متأخرة؛ (ج) لا ينطبق مستوى الدقة على التوقعات أو الدرجات أو الآراء أو مواد مصادر الأطراف الثالثة المعاد نشرها كما وردت؛ (د) إذا اكتشفت خطأً، فإن سبيل الانتصاف الوحيد والحصري لك هو إبلاغ SPI به، وستقوم بمراجعته وتصحيح السجل عند الاقتضاء خلال وقت معقول. ولا ينشأ عن أي عدم دقة في المحتوى أي استرداد أو رصيد أو تعويض أو مطالبة أخرى.

8.3 The Content is provided for general information only and does not constitute legal, financial, investment, procurement or bidding advice, and no fiduciary or advisory relationship arises between SPI and you. You remain solely responsible for verifying information with the relevant project owner or official tender portal (including Etimad) before relying on it, and for all commercial decisions, bids and investments you make. SPI does not endorse any project, owner, contractor or supplier appearing in the Content.

8.3 يُقدَّم المحتوى لأغراض المعلومات العامة فقط ولا يشكّل استشارة قانونية أو مالية أو استثمارية أو شرائية أو استشارة تتعلق بالعطاءات، ولا تنشأ بين SPI وبينك أي علاقة ائتمانية أو استشارية. وتظل مسؤولاً وحدك عن التحقق من المعلومات لدى مالك المشروع المعني أو بوابة المناقصات الرسمية (بما في ذلك منصة اعتماد) قبل الاعتماد عليها، وعن جميع القرارات التجارية والعطاءات والاستثمارات التي تتخذها. ولا تؤيد SPI أي مشروع أو مالك أو مقاول أو مورد يظهر في المحتوى.

8.4 Project News and other editorial items reflect information available at the time of publication and, where marked, the opinion of the author. SPI will correct material factual errors brought to its attention and offers a right of reply to any person or entity that is the subject of a news item, in line with the Executive Regulations for Electronic Publishing.

8.4 تعكس أخبار المشاريع والمواد التحريرية الأخرى المعلومات المتاحة وقت النشر، ورأي الكاتب حيثما يُشار إلى ذلك. وستصحح SPI الأخطاء الوقائعية الجوهرية التي يُلفت انتباهها إليها، وتتيح حق الرد لأي شخص أو كيان يكون موضوعاً لمادة إخبارية، تماشياً مع اللائحة التنفيذية للنشر الإلكتروني.

8.5 To the maximum extent permitted by Applicable Law, the Platform and Content are provided "as is" and "as available" without warranties of any kind, whether express or implied, including as to accuracy, completeness, timeliness, merchantability, fitness for a particular purpose or non-infringement. SPI does not warrant that the Platform will be uninterrupted, secure or error-free, or that any defect will be corrected.

8.5 إلى الحد الأقصى الذي يسمح به النظام المعمول به، تُقدَّم المنصة والمحتوى "كما هي" و"حسب التوفر" دون أي ضمانات من أي نوع، صريحة كانت أو ضمنية، بما في ذلك ما يتعلق بالدقة أو الاكتمال أو الحداثة أو القابلية للتسويق أو الملاءمة لغرض معين أو عدم الانتهاك. ولا تضمن SPI أن تكون المنصة خالية من الانقطاع أو آمنة أو خالية من الأخطاء، أو أن يتم تصحيح أي عيب.

9.1 To the maximum extent permitted by Applicable Law, SPI, its owner, employees, contractors and Third-Party Sources shall not be liable for any indirect, consequential, special or punitive loss, loss of profit, loss of business or contracts, loss of a tender or bid, loss of data or loss of goodwill, arising out of or in connection with the Platform or the Content, whether in contract, tort or otherwise, even if advised of the possibility of such loss.

9.1 إلى الحد الأقصى الذي يسمح به النظام المعمول به، لا تتحمل SPI ومالكها وموظفوها ومتعاقدوها ومصادر الأطراف الثالثة المسؤولية عن أي خسارة غير مباشرة أو تبعية أو خاصة أو عقابية، أو خسارة أرباح، أو خسارة أعمال أو عقود، أو خسارة مناقصة أو عطاء، أو فقدان بيانات، أو خسارة سمعة تجارية، تنشأ عن المنصة أو المحتوى أو تتعلق بهما، سواء أكان ذلك تعاقدياً أم تقصيرياً أم غير ذلك، حتى وإن تم إخطارها باحتمال حدوث تلك الخسارة.

9.2 SPI's total aggregate liability to you for all claims in any twelve (12) month period shall not exceed the Subscription fees actually paid by you to SPI in that period, or SAR 1,000 if no fees were paid.

9.2 لا يتجاوز إجمالي مسؤولية SPI تجاهك عن جميع المطالبات خلال أي فترة اثني عشر (12) شهراً مبلغ رسوم الاشتراك التي دفعتها فعلياً إلى SPI خلال تلك الفترة، أو 1,000 ريال سعودي إذا لم تُدفع أي رسوم.

9.3 Any claim against SPI must be notified in writing within ninety (90) days of the event giving rise to it and commenced within twelve (12) months, failing which it is waived to the extent permitted by Applicable Law.

9.3 يجب الإخطار كتابياً بأي مطالبة ضد SPI خلال تسعين (90) يوماً من الواقعة المنشئة لها ورفعها خلال اثني عشر (12) شهراً، وإلا عُدّت متنازلاً عنها إلى الحد الذي يسمح به النظام المعمول به.

9.4 Nothing in these Terms excludes or limits liability for fraud, gross negligence, wilful misconduct, or any liability that cannot be excluded under Applicable Law.

9.4 ليس في هذه الشروط ما يستبعد أو يحد من المسؤولية عن الغش أو الإهمال الجسيم أو سوء السلوك المتعمد، أو أي مسؤولية لا يجوز استبعادها بموجب النظام المعمول به.

10.1 You shall indemnify, defend and hold harmless SPI, its owner, employees, agents and Third-Party Sources from and against all claims, losses, damages, fines, costs and expenses (including reasonable legal fees) arising out of your breach of these Terms or the User Non-Disclosure Agreement, your misuse of the Content, your reliance on the Content, or your violation of Applicable Law or third-party rights.

10.1 تلتزم بتعويض SPI ومالكها وموظفيها ووكلائها ومصادر الأطراف الثالثة والدفاع عنهم وإبراء ذمتهم من جميع المطالبات والخسائر والأضرار والغرامات والتكاليف والنفقات (بما في ذلك الأتعاب القانونية المعقولة) الناشئة عن إخلالك بهذه الشروط أو باتفاقية عدم الإفصاح الخاصة بالمستخدم، أو إساءة استخدامك للمحتوى، أو اعتمادك على المحتوى، أو مخالفتك للنظام المعمول به أو حقوق الغير.

11.1 SPI processes personal data in accordance with the Personal Data Protection Law and its Implementing Regulations and as described in the SPI Privacy Policy, which forms part of these Terms. Business contact details of individuals appearing in the Content are provided for legitimate business-to-business communication only. Where you upload or enter personal data of third parties, or contact individuals using the Content, you warrant that you have a lawful basis to do so and that you will honour any objection or opt-out.

11.1 تعالج SPI البيانات الشخصية وفقاً لنظام حماية البيانات الشخصية ولائحته التنفيذية وعلى النحو الموضح في سياسة الخصوصية الخاصة بـ SPI التي تشكل جزءاً من هذه الشروط. وتُقدَّم بيانات الاتصال المهنية للأفراد الظاهرة في المحتوى لأغراض التواصل المشروع بين الأعمال فقط. وعندما تقوم بتحميل أو إدخال بيانات شخصية لأطراف ثالثة، أو التواصل مع أفراد باستخدام المحتوى، فإنك تضمن أن لديك أساساً نظامياً للقيام بذلك وأنك ستحترم أي اعتراض أو طلب إيقاف.

12.1 You may close your account at any time from your account settings or by written notice to SPI; closure does not entitle you to a refund except as provided in clause 4. SPI may suspend or terminate your access immediately on written notice if you breach these Terms or the User Non-Disclosure Agreement, fail to pay fees when due, become insolvent, or if required by a competent authority; and otherwise on thirty (30) days' notice with a pro-rata refund of prepaid fees for the unused period.

12.1 يجوز لك إغلاق حسابك في أي وقت من إعدادات الحساب أو بإشعار كتابي إلى SPI؛ ولا يخوّلك الإغلاق استرداد أي مبالغ إلا وفقاً للبند (4). ويجوز لـ SPI تعليق وصولك أو إنهاؤه فوراً بإشعار كتابي في حال إخلالك بهذه الشروط أو باتفاقية عدم الإفصاح الخاصة بالمستخدم، أو عدم سداد الرسوم في موعدها، أو إعسارك، أو إذا طلبت جهة مختصة ذلك؛ وفي غير ذلك بإشعار مدته ثلاثون (30) يوماً مع استرداد الرسوم المدفوعة مقدماً بالتناسب عن المدة غير المستخدمة.

12.2 SPI may also suspend access temporarily for maintenance, security incidents or to comply with a legal order, and will use reasonable efforts to give advance notice of planned maintenance.

12.2 يجوز لـ SPI أيضاً تعليق الوصول مؤقتاً لأغراض الصيانة أو الحوادث الأمنية أو الامتثال لأمر نظامي، وستبذل جهوداً معقولة لتقديم إشعار مسبق بالصيانة المخطط لها.

12.3 On termination, your licence ends, you must cease using and delete all exported Content (except records you are legally required to retain), and clauses 5 to 10, 12 to 15 and any clause which by its nature should survive shall continue in force.

12.3 عند الإنهاء ينتهي ترخيصك، ويجب عليك التوقف عن استخدام جميع المحتوى المصدَّر وحذفه (باستثناء السجلات التي يُلزمك النظام بالاحتفاظ بها)، وتظل البنود من 5 إلى 10 ومن 12 إلى 15 وأي بند يقتضي بطبيعته الاستمرار سارية المفعول.

13.1 SPI may modify, add or discontinue features, sectors, data sets or Third-Party Sources from time to time, and may rebrand the Platform without affecting these Terms. SPI may amend these Terms by posting the revised version on the Platform and notifying you by e-mail or in-app notice at least fifteen (15) days before the changes take effect, or immediately where required by Applicable Law. Continued use after the effective date constitutes acceptance; material changes that adversely affect a paid Subscription entitle you to terminate within the notice period and receive a pro-rata refund of prepaid fees for the unused period.

13.1 يجوز لـ SPI تعديل الخصائص أو القطاعات أو مجموعات البيانات أو مصادر الأطراف الثالثة أو إضافتها أو إيقافها من وقت لآخر، ويجوز لها تغيير العلامة التجارية للمنصة دون أن يؤثر ذلك على هذه الشروط. ويجوز لـ SPI تعديل هذه الشروط بنشر النسخة المعدلة على المنصة وإخطارك عبر البريد الإلكتروني أو إشعار داخل التطبيق قبل خمسة عشر (15) يوماً على الأقل من سريان التغييرات، أو فوراً عندما يقتضي النظام المعمول به ذلك. ويُعد استمرار الاستخدام بعد تاريخ السريان قبولاً بها؛ أما التغييرات الجوهرية التي تؤثر سلباً على اشتراك مدفوع فتخوّلك الإنهاء خلال مدة الإشعار واسترداد الرسوم المدفوعة مقدماً بالتناسب عن المدة غير المستخدمة.

14.1 These Terms are governed by the laws of the Kingdom of Saudi Arabia. The parties shall first attempt in good faith to resolve any dispute amicably within thirty (30) days of written notice. Failing amicable settlement, the dispute shall be referred to the competent Commercial Court in Riyadh, without prejudice to SPI's right to seek interim or injunctive relief in any jurisdiction to protect its intellectual property or Confidential Information.

14.1 تخضع هذه الشروط لأنظمة المملكة العربية السعودية. ويسعى الطرفان أولاً بحسن نية إلى تسوية أي نزاع ودياً خلال ثلاثين (30) يوماً من الإشعار الكتابي. وفي حال تعذّر التسوية الودية، يُحال النزاع إلى المحكمة التجارية المختصة في مدينة الرياض، دون الإخلال بحق SPI في طلب تدابير مؤقتة أو أوامر قضائية في أي اختصاص لحماية ملكيتها الفكرية أو معلوماتها السرية.

14.2 Nothing in these Terms prevents either party from filing a complaint with the Ministry of Commerce, the Saudi Data & AI Authority (SDAIA) or any other competent regulator.

14.2 ليس في هذه الشروط ما يمنع أي طرف من تقديم شكوى إلى وزارة التجارة أو الهيئة السعودية للبيانات والذكاء الاصطناعي (سدايا) أو أي جهة تنظيمية مختصة أخرى.

15.1 These Terms, together with the Privacy Policy, the User Non-Disclosure Agreement and any plan-specific order confirmation, constitute the entire agreement between the parties and supersede all prior understandings, including any terms issued under the SPW name. If any provision is held invalid, it shall be read down to the extent necessary and the remainder continues in force. No waiver is effective unless in writing, and no delay in enforcing a right is a waiver. You may not assign your rights without SPI's prior written consent; SPI may assign or novate these Terms to any successor entity, including any company to which the SPI business is transferred, on notice to you.

15.1 تشكّل هذه الشروط، مع سياسة الخصوصية واتفاقية عدم الإفصاح الخاصة بالمستخدم وأي تأكيد طلب خاص بالباقة، كامل الاتفاق بين الطرفين وتحل محل جميع التفاهمات السابقة، بما في ذلك أي شروط صدرت تحت اسم SPW. وإذا قُضي ببطلان أي حكم، يُقرأ بالقدر اللازم لتصحيحه وتظل بقية الأحكام سارية. ولا يُعتد بأي تنازل ما لم يكن كتابياً، ولا يُعد التأخر في إنفاذ أي حق تنازلاً عنه. ولا يجوز لك التنازل عن حقوقك دون موافقة كتابية مسبقة من SPI؛ ويجوز لـ SPI التنازل عن هذه الشروط أو تجديدها لأي كيان خلف، بما في ذلك أي شركة تُنقل إليها أعمال SPI، بإشعار إليك.

15.2 Neither party is liable for delay or failure caused by events beyond its reasonable control, including acts of government, changes in law, internet, hosting or telecommunications failure, cyber-attack, or force majeure, provided that this does not excuse payment obligations.

15.2 لا يتحمل أي من الطرفين المسؤولية عن التأخير أو الإخفاق الناتج عن أحداث خارجة عن سيطرته المعقولة، بما في ذلك الإجراءات الحكومية أو تغيير الأنظمة أو انقطاع الإنترنت أو الاستضافة أو الاتصالات أو الهجمات السيبرانية أو القوة القاهرة، على ألا يُعفي ذلك من التزامات الدفع.

15.3 You shall comply with all Applicable Law in using the Platform, including anti-bribery, sanctions and competition rules, and shall not use the Content to coordinate bids or otherwise restrict competition.

15.3 تلتزم بالامتثال لجميع الأنظمة المعمول بها عند استخدام المنصة، بما في ذلك قواعد مكافحة الرشوة والعقوبات والمنافسة، ولا يجوز لك استخدام المحتوى للتنسيق في العطاءات أو تقييد المنافسة بأي شكل.

15.4 Notices to SPI shall be sent to legal@spi-platform.com or to Bunyan Pillars Establishment at the registered address above. Notices to you will be sent to your registered e-mail address and are deemed received on the next business day in the Kingdom. Support: +966 55 833 8456.

15.5 These Terms are issued in Arabic and English. In the event of any inconsistency, the Arabic text shall prevail before the courts and authorities of the Kingdom of Saudi Arabia.
